Please read these pandacredit powered by TNG eWallet terms and conditions (“pandacredit User Account Terms”) and the TNG Digital Sdn Bhd User Terms and Conditions (English Version) at https://www.touchngo.com.my/assets/pdf/user-tnc.pdf (“TNG Terms”) carefully before registering, accessing or using the pandacredit user account (“pandacredit User Account”) located at https://www.foodpanda.my/ (“foodpanda Website”) or the foodpanda mobile application (hereinafter collectively referred to as “foodpanda Platform”) on any device and/or before using any services in relation to the pandacredit User Account that may be offered by foodpanda on the foodpanda Platform (hereinafter referred to as “Services”). These pandacredit User Account Terms form a legal agreement between you (“User” or “you”) and Delivery Hero Malaysia Sdn Bhd (“foodpanda” or “we”). These pandacredit User Account Terms are supplemental to and deemed to be incorporated into the Terms of Use located at https://www.foodpanda.my/contents/terms-and-conditions.htm, which govern your use of the foodpanda Platform. Capitalised terms used but not otherwise defined herein shall have the same meanings ascribed to them in the Terms of Use.
Whenever the context requires, “User” or “you” shall mean any natural or legal person who is a resident of Malaysia or non-Malaysia resident of at least eighteen (18) years of age who is eligible to contract and has registered for the pandacredit User Account by accepting these pandacredit User Account Terms.
You agree and acknowledge that you have read the pandacredit User Account Terms set forth herein. In addition, you confirm that you are at least eighteen (18) years of age. If you do not agree to these pandacredit User Account Terms or do not wish to be bound by these pandacredit User Account Terms, or are below eighteen (18) years of age, please do not use the Services and pandacredit User Account and/or immediately discontinue your use of the Services and pandacredit User Account.
foodpanda may amend the pandacredit User Account Terms at any time by publishing an updated version at the foodpanda Platform. The updated version of the pandacredit User Account Terms shall take effect immediately upon posting. It is your responsibility to review these pandacredit User Account Terms periodically for updates/changes. Your continued use of the Services following the posting of such changes will mean that you accept and agree to the revised pandacredit User Account Terms.
Your use of the Services, the pandacredit User Account and the foodpanda Platform indicates your agreement to these pandacredit User Account Terms, so please read the pandacredit User Account Terms and the TNG Terms carefully before proceeding. By impliedly or expressly accepting these pandacredit User Account Terms, you also accept and agree to be bound by foodpanda’s policies (including, but not limited to, our Privacy Policy) available on the foodpanda Website, as may be amended from time to time.
1. More about pandacredit User Account
1.1 Pandacredit User Account pandacredit User Account is an electronic wallet offered by TNG Digital Sdn Bhd (TNGD), a licensed entity under Bank Negara Malaysia, for the purpose of facilitating rewards, cashback or refund within foodpanda. All electronic money in the pandacredits User Account is issued by TNxGD. When you make purchases on the foopanda Platform using the funds from the pandacredit User Account, the value will be deducted from the amount stored in the pandacredit User Account. These pandacredit User Account Terms regulate the use of the pandacredit User Account on the foodpanda Platform.
1.2. Registering for pandacredit User Account To use pandacredit User Account, a User must (i) register on the foodpanda Platform by providing their details, name, email address, and mobile number (“User’s Details”), (ii) register for and maintain a Touch ‘n Go eWallet operated by TNGD (“TnG eWallet”), and (iii) consent to the linking with TNGD. A pandacredit User Account will be issued to a User immediately upon successful registration. Successful linking of pandacredits: Step 1: Click on “Account” > “pandacredit” and you will be led to a page to link their TnG eWallet. Step 2: Click on “Link TnG eWallet”. Step 3: Complete the authorisation process and click “Agree” to the terms and conditions. Step 4: You should see a notification on the successful authorisation and will be led back to the pandacredit User Account page which will reflect your available balance.
2. Key Features of pandacredit User Account
The key features of the pandacredit User Account are set out below: i. Mode of Loading or Reloading Users can maintain monetary value in the pandacredit User Account. Monetary value can only be loaded in the pandacredit User Account in the following ways:
2.1. from refunds that might arise due to cancellations and returns of your online transactions on the foodpanda Platform; (b) through cashback or other incentives rewarded to you at the sole discretion of foodpanda and/ or TNGD;
2.2. Maximum Balance The balance in the pandacredit User Account cannot exceed the limit set by TnG eWallet. Please refer to https://www.touchngo.com.my/usertiering/ for the applicable limits (“Maximum Balance”).
2.3. Use of Balance The balance in the pandacredit User Account can only be used to purchase goods and/or services from the vendors listed on the foodpanda Platform (“Vendors”). If you choose to utilise the balance in your pandacredit User Account for an order and the value of the order exceeds the balance in your pandacredit User Account, the balance in your pandacredit User Account shall be utilised in full and the remaining amount of the order shall be charged to the online payment method. If you choose to utilise the balance in your pandacredit User Account for an order and the value of the order is less than the balance in your pandacredit User Account, foodpanda will only deduct the value of the order from the balance in the pandacredit User Account. Any remaining balance in your pandacredit User Account may be used on subsequent orders.
2.4. Transfer to source If you are eligible for a refund to the original payment source, the eligibility, as determined by foodpanda, will be indicated clearly within the foodpanda Platform.
3. General Terms of Use for pandacredit User Account
3.1. The balance in the pandacredit User Account cannot be withdrawn as cash. It can only be used to purchase goods and/or services from Vendors via the foodpanda Platform.
3.2. The balance in the pandacredit User Account is not transferable.
3.3. No interest is payable on the outstanding balance in the pandacredit User Account.
3.4. Each User is permitted to operate only one (1) pandacredit User Account. Any suspected violation of this condition shall constitute grounds for suspension of the User’s access to all pandacredit User Accounts of the User.
3.5. foodpanda may, from time to time, require additional information from you regarding your identity and your use of the pandacredit User Account, including transactions made thereon, identification information and number of pandacredit User Accounts being held by you. You agree that you will provide accurate, complete and truthful responses to such queries from foodpanda in good faith, and your failure to do so may result in the immediate suspension or termination of your pandacredit User Account and/or foodpanda account.
3.6. foodpanda reserves the right to suspend/discontinue the pandacredit User Account at any time, for any cause, including, but not limited, to the following: i. for any suspected violation of any applicable laws, rules, regulations, orders, directions, notifications and guidelines, including notices and guidelines issued by the relevant authorities from time to time or for any violation of any instructions or notifications issued by foodpanda to the User from time to time or any terms of usage of foodpanda’s services, including these pandacredit User Account Terms; ii. any suspected discrepancy, false information and/or inaccuracies in the User’s details and any other identification, financial information or supporting documents provided by the User; iii. to combat potential fraud, sabotage, money laundering, terrorism financing, willful destruction, or for any other force majeure event; or iv. foodpanda in its sole opinion and discretion believes that cessation/suspension of the pandacredit User Account is necessary for any other legitimate purpose.
3.7. Mode of Refund for Online Payment Orders If you are entitled to a refund in accordance with the refund and cancellation policies set out in the Terms of Use, the default mode of refund for orders in which payments were done through credit cards or debit cards will be a refund to the pandacredit User Account. The amount approved for refund to you shall be at foodpanda’s sole discretion. The refund will be processed as soon as reasonably practicable and will be instantaneous where possible. Once the refunded amount is reflected in the pandacredit User Account, the refunded amount can be redeemed immediately on your next order. You may opt out of receiving refunds to the pandacredit User Account as the default mode of refund at any time by changing your preferences in the “Settings” on the foodpanda Platform and in such cases, the refund will be processed to the original payment method used for the order. The refund, including refund to credit card or debit card, may take seven (7) to ten (10) business days.
3.8. Validity of Balance in pandacredit User Account The balance reflected in your pandacredit User Account does not expire as long as you have a valid pandacredit User Account. Notwithstanding the abovementioned, please note that any balance in your pandacredit User Account resulting from Cashback (as defined below)or other incentives awarded by foodpanda is subject to an expiry date, as specified in the applicable Cashback campaign terms. Cashback will only be awarded if your pandacredit User Account is activated prior to meeting the campaign conditions; failure to activate pandacredit User Account will result in ineligibility for Cashback, and any Cashback will not be credited even after the pandacredit User Account is activated, even if all other conditions are met. In the event that your pandacredit User Account terminates or you wish to close your pandacredit User Account, you may redeem the entire outstanding balance in your pandacredit User Account by making a purchase on the foodpanda Platform before closing your pandacredit User Account. You will not be able to close your pandacredit User Account, unless the balance is RM 0. However, if your pandacredit User Account is terminated by foodpanda pursuant to Paragraph IV,V or VI above, the termination may take place with immediate effect and you may not be permitted to utilize any remaining balance in your pandacredit User Account, which will be forfeited.
3.9. Cashback
i. When you make a successful order from the Vendors, you may be eligible to receive a percentage of the order value or a fixed amount (“Cashback(s)”) credited to your Pandacredit User Account.
ii. You will not be able to receive Cashbacks to your Pandacredit User Account if doing so will cause the balance to exceed the Maximum Balance.
iii. The Cashback will be credited to your Pandacredit User Account immediately after you place and pay for an eligible order that is successfully delivered, , unless otherwise stated.
iv. Orders that are cancelled are not eligible for Cashback. In the event of a cancellation of your order, foodpanda reserves the right to claw back/reclaim the Cashback credited, or to charge you the equivalent amount.
v. If there is a refund on the order, and/or the order value falls below the required minimum spend, foodpanda reserves the right to claw back/reclaim the credited Cashback.
vi. Your Cashback is not transferable.
vii. Your Cashback will be available in your Pandacredit User Account and can be applied to your next eligible order on foodpanda Platform.
viii. Cashbacks are subject to validity periods, as specified in the Cashback campaign terms, as well as usage restrictions, limits and/or other availability conditions. All Cashbacks are subject to availability on a ‘while stocks last’ basis.
ix. foodpanda reserves the right to exclude the use of the Cashback for certain orders at its sole and absolute discretion.
x. Your Cashback is non-refundable, non-exchangeable for cash and does not constitute a liability owed to you by any foodpanda and/or any Vendor on foodpanda Platform.
xi. If foodpanda reasonably determines that you are not eligible for Cashback, including instances where the Cashback was awarded in error, foodpanda reserves the right to claw back/ reclaim the credited Cashback amount without prior notice.
xii. In cases of suspected fraud, attempted deception, or other illegal activities related to the redemption of Cashback on foodpanda Platform, foodpanda is entitled to deduct any Cashback at its sole discretion.
xiii. foodpanda’s decision on all matters relating to the Cashback shall be final. In case of discrepancies between these pandacredit User Account Terms and any brochure, marketing or promotional material relating to any Cashback campaign, these pandacredit User Account Terms will prevail.
xiv. foodpanda shall not be responsible for any failure or delay in transactions that may result in you being omitted from enjoying the Cashback.
xv. foodpanda reserves the right to suspend or terminate the Cashback campaign at any time without prior notice or liability to any party.
xvi. foodpanda reserves the right to change or modify these pandacredit User Account Terms and to suspend or terminate the Cashback campaign at any time without prior notice or liability to any party.
3.10. Charges The pandacredit User Account is free for Users. foodpanda does not charge Users any fee for creating a pandacredit User Account or use of Services. In particular, foodpanda may at its sole discretion introduce new Services and modify some or all the existing Services offered. In such an event, we reserve the right to introduce fees for the new Services offered or amend/introduce fees for existing Services, as the case may be. Changes to the fee policy shall be posted on the foodpanda Platform and such changes shall automatically become effective immediately after they are posted on the foodpanda Platform.
3.11. Prohibited Uses of pandacredit User Account
Without prejudice to the other restrictions and limitations contained above, you shall not under any circumstances:
i. use the pandacredit User Account to defraud foodpanda, our affiliates or other members or users, or engage in other unlawful activities (including, without limitation, dealing in products or services prohibited by law);
ii. use the pandacredit User Account in such a manner that violates, or causes foodpanda to violate, any law, statute, ordinance or regulation;
iii. impersonate any person or entity, falsely claim or otherwise misrepresent an affiliation with any person or entity, or access the accounts of others without permission, forge another person’s digital signatures or perform any other fraudulent activity;
iv. post or transmit any message, image or data which is pornographic, obscene, abusive, offensive, inappropriate, unlawful, infringing, inaccurate, false, defamatory, violent, or otherwise objectionable in nature;
v. purchase any products or services using fraudulent, misappropriated, or unlawfully obtained funds;
vi. use the balance in the pandacredit User Account in a manner that may result in complaints, disputes, imposition of fines, penalties, chargebacks or any other liability to foodpanda; or
vii. use the pandacredit User Account for money laundering, terrorism financing, tax evasion or any other illegal activities.
3.12. Your Responsibilities
In connection with your use of the pandacredit User Account, it shall be your responsibility to adhere to the following:
i. promptly inform foodpanda of any unauthorised usage of your pandacredit User Account and any other circumstances which may lead to unauthorised usage of your pandacredit User Account. The responsibility of any transaction prior to intimation, will solely be on the registered User;
ii. if any value is erroneously credited to your pandacredit User Account for any reason (including, without limitation, technical errors, system malfunctions, processing mistakes, duplicate or incorrect refunds, or mistaken transfers from any party), you shall immediately notify foodpanda upon becoming aware of such credit. For the avoidance of doubt, your failure to notify foodpanda or foodpanda’s own knowledge of the erroneous credit, shall not affect your obligation to return or repay such amount, nor limit foodpanda’s right to recover or reverse it in any manner. You acknowledge and agree that, regardless of such notification:
(a) foodpanda shall have the sole and absolute right, at any time and without prior notice, to correct, reverse, or adjust your pandacredit User Account to rectify such error, including by debiting any amount erroneously credited;
(b) if your pandacredit balance is insufficient to cover the amount of such erroneous credit, the shortfall shall constitute a debt owed by you to foodpanda, recoverable on demand; and
(c) retaining, withdrawing, or using any funds or value that you are aware (or ought reasonably to be aware) were credited in error may constitute an offence and/or a breach of these pandacredit User Account Terms, foodpanda shall not be liable for any loss, claim, or damage arising from or in connection with any such correction, reversal, or adjustment;iii. that when you acquire goods and/or services from a Vendor and pay the Vendor through the pandacredit User Account, you understand that you enter into a contract with the Vendor and we are not a party to the contract between you and the Vendor. foodpanda shall not be liable for any loss or damage arising from your contractual relationship with the Vendor. In addition, foodpanda is under no obligation to monitor the quality of the Vendor’s service used by you; the Vendor alone will be responsible for all obligations under the contract between you and the Vendor, including, but not limited to, warranties or guarantees. foodpanda shall not be responsible or liable for any deficiency in the preparation, condition and quality of goods and/or services purchased from Vendors using the balance in the pandacredit User Account; and
iv. to use the pandacredit User Account in good faith and in compliance with all applicable laws and regulations, all instructions or notifications issued to you by foodpanda from time to time, and these pandacredit User Account Terms.
3.13. Unauthorised Transactions and Redressal
i. An unauthorised transaction occurs when a payment is made from or to your pandacredit User Account that you did not authorise. For example, if someone makes a transaction from your pandacredit User Account using a stolen password, an unauthorised transaction has occurred. If you provide access to your pandacredit User Account to a third party (by disclosing your login information or any other information) and they conduct transactions without your knowledge or permission, you are responsible for any resultant use.
ii. The liability of any misuse is solely yours, until you report the issue to foodpanda.
iii. In the event of an unauthorised transaction made using your pandacredit User Account, you must report the misuse of your pandacredit User Account to the police and lodge a complaint with the police. Simultaneously, you should also immediately notify foodpanda if you believe:
(a) there has been an unauthorised transaction or unauthorised access to your account; or
(b) your username and password for your pandacredit UserAccount has been compromised;
(c) For unauthorised transactions or errors made using your pandacredit User Account, you may notify us by our in-app customer support chat feature.4. Intellectual Property
4.1. Trademarks All trademarks, logos, images, and service marks, as displayed on the foodpanda Platform or in our marketing material, whether registered or unregistered, are the intellectual property of foodpanda and/or third parties who have authorised us to use their trademarks, logos, images, and service marks (collectively the “Trademarks”). You shall not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Trademarks in any way without our prior express written consent. The use of the Trademarks on any other website not approved by us is strictly prohibited. foodpanda will aggressively enforce its intellectual property rights to the fullest extent of the law, including, where applicable, criminal prosecution.
4.2. foodpanda Platform, pandacredit User Account and the Services foodpanda and/or third parties , its parent company and its affiliates, where applicable, shall own all rights, title and interest, including all related intellectual property rights, in and to the foodpanda Platform, the pandacredit User Account and the Services. These pandacredit User Account Terms do not convey to you any rights of ownership in or related to the foodpanda Platform, the pandacredit User Account or the Services, or any intellectual property rights owned by foodpanda, its parent company and/or its affiliates. For the avoidance of doubt, foodpanda’s name, logo, and the third party logos and product names associated with the foodpanda Platform and the Services are trademarks of foodpanda, its parent company, affiliates and/or third parties, and no right or license is granted to you to use them.
5. Data Privacy and Personal Data Protection Policy You agree and consent to foodpanda collecting, using, disclosing and processing your personal data in accordance with our Privacy Policy: https://www.foodpanda.my/contents/privacy.htm
6. Indemnification By agreeing to these pandacredit User Account Terms and upon using the Services and/or the pandacredit User Account, you agree that you shall defend, indemnify and hold foodpanda, its parent company, subsidiaries, affiliates, officers, directors, members, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with: i. your use of the Services, the pandacredit User Account and/or the foodpanda Platform in your dealings with any third parties, including, but not limited to, the Vendors, delivery agents and other users of the foodpanda Platform; ii. your violation or breach of any of the pandacredit User Account Terms or any applicable law or regulation; iii. your violation of any rights of any third party; iv. your misuse of the Services and/or the foodpanda Platform. v. any failure or delay in transactions which may result in you being omitted from enjoying the cashback.
7. No Warranties; Limitation of Liability
The Services are provided to you strictly on an “as is” and “as available” basis without any warranty of any kind and foodpanda does not authorise any third party to make any warranty on our behalf. To the fullest extent permitted by law, foodpanda makes no representations or warranties, whether express, implied, statutory or other, including without limitation, any implied warranty as to the accuracy, reliability, timeliness, quality, suitability, availability, completeness, merchantability, or fitness for a particular purpose, or non-infringement of third party rights, or that the Services will be uninterrupted, timely or error-free, in relation to any data and information on the pandacredit User Account, the foodpanda Platform and the Services.
Further, foodpanda does not represent or warrant that the data and information on the pandacredit User Account, the foodpanda Platform and the Services will meet your requirements. All data and information in and shown on the pandacredit User Account, the foodpanda Platform and the Services are believed by foodpanda to be accurate to the best of its knowledge, but because of the possibility of human and mechanical error, delays or interruptions, system downtime, and other factors, all data and information in and shown on the pandacredit User Account, the foodpanda Platform and the Services, are provided on an “as is” and “as available” basis. The use of the pandacredit User Account, Services and the foodpanda Platform may be subject to limitations, delays, security issues, and other problems inherent in the use of the internet and electronic communications, including the device used by you being faulty, not connected, out of range of mobile signals or functioning incorrectly. foodpanda is not responsible for any delays, delivery failures, damages or losses resulting from such problems.
You agree that all risks arising from online transactions will be borne by you. To the fullest extent permitted by law, foodpanda shall not be liable in contract or otherwise for any direct, indirect, special, punitive or consequential loss or damage, including without limitation data loss or economic loss, sustained by you or any other party by the direct or indirect use of or reliance on the pandacredit User Account, the Services, foodpanda Platform or the data or information therein and shown thereon. To the extent that foodpanda incurs any liability notwithstanding the foregoing sentence, foodpanda’s liability shall in no event exceed the amount paid by you for the use of the Services giving rise to the cause of action.
8. Complaints You may contact foodpanda if you wish to make a complaint about the Services to our complaints officer by our in-app customer support chat feature.
9. Assignment These pandacredit User Account Terms, as may be modified from time to time, shall not be assigned by you without the prior written approval of foodpanda. foodpanda may assign these pandacredit User Account Terms, whether in whole or in part, to any third party, including its affiliates or related entities, without your consent.
10. Notices foodpanda may give notice by means of a general notice on the foodpanda Platform, or by electronic mail to your email address in the records of foodpanda, or by written communication sent by registered mail or pre-paid post to your physical address in the records of foodpanda. Such notice shall be deemed to have been given upon the expiration of two (2) business days after the date of posting (if sent by registered mail or pre-paid post) or one (1) hour after sending (if sent by email or posted on the foodpanda Platform).
11. Governing Law and Dispute Resolution These pandacredit User Account Terms and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of Malaysia. The Malaysia courts will have jurisdiction over any dispute or claim arising out of or in connection with the use of the pandacredit User Account Terms.
